Submitting Company Agreement

Investor Awareness Index, Inc. (hereinafter referred to as "THE INDEX"), publisher of the Investor Awareness Index, is an index publishing company. Companies and/or individuals which submit information to THE INDEX for evaluation, consideration, or inclusion in THE INDEX's published index ("You" or "Submitting Company") must review and consent to the terms in this Submitting Company Agreement (the "Agreement"). By clicking on the ‘I Agree' button below, You consent to the following agreement with the Investor Awareness Index:

Authority and Consent To Be Bound: The individual who submits information on behalf of the Submitting Company represents that he or she is acting on behalf of the Submitting Company and has the capacity and authority to bind the Submitting Company to this Agreement.

Accuracy of Submitted Materials: You represent and warrant that, at the time You submit it to THE INDEX, to the best of Your knowledge, the information, content, and material You submit to THE INDEX is truthful, complete, and accurate.

Ownership of Submitted Materials: You represent You own or otherwise have legal entitlement to grant, and do hereby grant, THE INDEX a nonexclusive, royalty-free, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, copy, and display any information, material, or content You submit to THE INDEX throughout the world in any form, media, or technology now known or hereafter developed.

Your Account and Password: After You register, You will receive a username and a password as part of the registration process. You are responsible for maintaining the confidentiality of the password and account and for restricting access to Your computer, and You agree to accept full responsibility for all activities that occur under Your password or username. You agree to (a) immediately notify THE INDEX of any unauthorized use of Your password, username, or account or any other breach of security related to the Site, and (b) ensure that You exit from your account at the end of each session.

Index Score: THE INDEX will in its sole discretion determine whether to evaluate the information and compile and publish an Index score based, but not solely based, on the information. THE INDEX may also, within its sole discretion, obtain and evaluate information from third parties, and use that information to compile and determine a fair and reasonably accurate investor awareness initiatives score for You ("Index Score"). You understand and agree that THE INDEX does not guarantee that THE INDEX will decide to publish an Index Score for You and will make no representations or warranties that Your Index Score will be any particular number.

Disputed Index Score: You agree THE INDEX may publish an Index Score that You disagree with or believe is not accurate or fair and that, in such case, You may not recall or otherwise attempt to retract the information that You provided to THE INDEX. In the event that You disagree in any way with an Index Score, You agree You will take no action whatsoever against THE INDEX and that Your sole remedy in such a circumstance is to submit further information to THE INDEX and to request reevaluation of Your Index Score. THE INDEX will review any updated information submitted by You if, within its sole discretion, it deems that a review of Your Index Score is reasonable and necessary.

Limited License: You agree not to use, transfer, distribute, or dispose of Your Index score in any manner that competes with the business of THE INDEX. You will not use THE INDEX and the information contained therein to construct a database of any kind. You will not store the index (in its entirety or in any part) in databases for access by You or any third party or to distribute any database services containing all or part of THE INDEX. Furthermore, You may not use any of THE INDEX's trademarks, trade names, service marks, copyrights, or logos in any manner which creates the impression that such items belong to or are associated with You, except that You may use the name "Investor Awareness Index," the URL or link to www.InvestorAwarenessIndex.com, and the Official Investor Awareness Index Scoring Logo in connection with publication of Your Index Score.

Updated Information: You agree to update the information You provide to THE INDEX when reasonably necessary and to keep Your THE INDEX information current and to respond to requests for information from THE INDEX reasonably related to the information You provide to THE INDEX so that THE INDEX may evaluate and as necessary adjust Your Index Score.

Indemnification: You agree, at Your own expense, to indemnify, defend and hold harmless THE INDEX, its agents, directors, officers, employees, representatives, subsidiaries, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's and expert's fees, relating to Your provision of information to THE INDEX any dispute arising from this Agreement and/or related to Your Index Score.

Covenant Not To Sue: You agree that You will not bring any claim against THE INDEX, its representatives, partners, investors, attorneys, or agents based on contract, tort, warranty, mistake or any other theory, whether legal, statutory, or equitable in nature, regarding or based on any disagreement over Your Index Score as calculated or published by THE INDEX.

Required Notice of Infringement: You agree to notify THE INDEX in writing promptly upon becoming aware of any unauthorized access or use of THE INDEX by any individual or entity or of any claim that THE INDEX infringes upon any copyright, trademark, or other contractual, statutory, or common law intellectual property right. Use the form of notice described below, which complies with the form suggested by the Digital Millennium Copyright Act ("DMCA"). THE INDEX's response to these notices may include removing or disabling access to material claimed to be the subject of infringing activity. If You materially misrepresent that a product or activity is infringing Your copyrights, You may be liable for damages, including costs and attorneys' fees.

In Your DMCA Notification, please use the following format: 1. Identify the allegedly infringed-upon copyrighted work. 2. Identify the material that infringes the copyrighted work listed in #1. 3. Provide Your contact information (email address is preferred). 4. Provide the contact information for the owner/administrator of the allegedly infringing webpage or other content (email address is preferred). 5. Include the following statement: "I have a good faith belief that use of the copyrighted materials described above as allegedly infringing is not authorized by the copyright owner, its agent, or the law." 6. Include the following statement: "I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorized to act on behalf of the owner of an exclusive right that is allegedly infringed." 7. Sign the paper. 8. Send the written communication to The Index's designated agent to receive notification of claimed infringement under Title II of the Digital Millennium Copyright Act at the following address: Investor Awareness Index - DMCA, 9320 Lurline Avenue, Chatsworth, CA 91311 or email to info@investorawarenessindex.com.

E-Mail Terms Of Use: By communicating with THE INDEX via e-mail, You understand and agree that THE INDEX will use reasonable means to protect the privacy of Your information sent by e-mail, but that THE INDEX cannot guarantee that e-mail communications will be confidential. Additionally, THE INDEX will not be liable in the event that You or anyone else inappropriately uses Your e-mail. THE INDEX will not be liable for improper disclosure of Your information that THE INDEX does not cause through intentional misconduct. You shall not use e-mail to hack, to password mine, to send junk mail, spam, or to send any message or material that is offensive, unlawful or violates the rights of others.

Termination: You may terminate the Agreement, with or without cause and at any time, by giving THE INDEX 10 (ten) days written notice. You agree that THE INDEX, with 10 (ten) days notice, may terminate the Agreement, or suspend Your access to THE INDEX, with or without cause at any time and effective immediately.

Law and Forum: The laws of the state of California shall govern the interpretation, validity, and effect of this Agreement and any dispute or claim based on Your use of THE INDEX, the information published or considered by THE INDEX in its evaluation of Your Index Score. Any dispute between You and THE INDEX shall be exclusively decided in an appropriate court in Los Angeles, California.

Entire Agreement: The written terms of this Agreement constitute the entire Agreement between You and THE INDEX and govern Your relationship with THE INDEX. This Agreement supersedes any prior or contemporaneous negotiations, representations, agreements, or understandings, whether written or oral. You acknowledge that You have not relied on any promise, representation or warranty, expressed or implied, not contained in this Agreement.
